Terms of Service

1. Studio Scope & Acceptance

By accessing the website at https://waydesign.in or engaging waydesign.in (“Studio”, “we”, “us”, or “our”) for creative, engineering, social media management, video production, or Answer Engine Optimization (AEO) services, you agree to be bound by these Terms of Service.

All formal project scopes are accompanied by an agreed Proposal, Statement of Work (SOW), or written engagement brief outlining milestones, production schedules, and commercial deliverables.

2. Core Studio Services

waydesign.in operates as an integrated digital studio providing:

• Websites: Custom bespoke architecture, modern Next.js and React web applications, 3D interactive experiences, performance tuning, and technical infrastructure.
• Social Design: Bespoke visual branding, carousels, editorial story systems, and creative direction across digital channels.
• Social Handling: Dedicated account strategy and execution across Instagram and YouTube, including an allocated studio video editor.
• AI Video: High-fidelity generative and edited cinematic video assets, motion systems, and digital sound synthesis.
• AEO (Answer Engine Optimization): Schema architecture, entity indexing, and strategic optimization for discovery across conversational AI systems (ChatGPT, Claude, Perplexity, Gemini).

3. Intellectual Property & Ownership

Upon receipt of full final payment for an engagement, the Client receives complete, unencumbered ownership of final design deliverables, website source code created specifically for the project, visual assets, and finalized social media content.

waydesign.in retains ownership of proprietary pre-existing studio libraries, starter frameworks, internal workflow scripts, and open-source tooling. waydesign.in reserves the right to showcase finalized project work in studio portfolios, case studies, design award submissions, and social retrospectives unless otherwise bound by an executed Non-Disclosure Agreement (NDA).

4. Client Collaboration & Approvals

Prompt feedback is vital to maintaining project momentum. Milestones submitted for Client review shall be approved or accompanied by consolidated revision requests within seven (7) business days. In the absence of feedback within this period, deliverables will be deemed accepted to ensure subsequent schedule continuity.

5. Retainers, Payments & Invoicing

Project engagements typically require an initial deposit prior to kickoff, with scheduled balance payments linked to designated production milestones. Ongoing monthly retainers (such as Social Handling and AEO management) are invoiced at the beginning of each billing cycle and are payable upon receipt. Late payments beyond fourteen (14) calendar days may result in temporary suspension of active publishing schedules or development deployments.

6. Confidentiality

Both parties agree to treat non-public business strategies, trade secrets, customer records, and confidential technical architecture disclosed during the engagement with strict confidentiality, using no less than industry-standard protective measures.

7. Warranties & Limitation of Liability

waydesign.in warrants that all bespoke software and web assets delivered will conform in all material respects to agreed specifications upon deployment. Except as expressly stated, all deliverables are provided “as is.” In no event shall waydesign.in’s aggregate liability exceed the total fees received for the specific service milestone giving rise to the claim.

8. Governing Law

These Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction situated in the courts of New Delhi, India.
